We develop complex corporate reorganization projects (involving mergers, demergers, consolidations, etc) for both publicly and privately held companies and assist on their implementation.

We draft joint venture and consortia agreements, prepare and negotiate shareholder agreements, including mechanisms to protect shareholders rights, and provide advice to minority and majority shareholders in corporate disputes. We prepare and implement processes to improve governance, monitoring, and adjusting programs with this scope, ensuring the adequate flow of information for specific stakeholder groups.

We structure share purchases and subscription transactions and tender offerings.
